1. Introduction

Welcome to TruthCover. These Terms of Service ("Terms") govern your access to and use of the TruthCover website, mobile application, and related services (collectively, the "Services"), so please read them carefully before using the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services. If you are accessing or using the Services on behalf of a company, entity, or organization (collectively, a "Subscribing Organization"), you represent and warrant that you are an authorized representative of that Subscribing Organization with the authority to bind such organization to these Terms.

2. Definitions

Throughout these Terms, we may use certain capitalized terms, which have the following meanings:

  • "TruthCover", "we", "us", or "our" refers to TruthCover, Inc., a Delaware corporation with its principal office at 123 Insurance Plaza, Suite 500, New York, NY 10001.
  • "User", "you", or "your" refers to any individual who accesses or uses the Services.
  • "Content" refers to any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the Services.
  • "User Content" refers to any Content that a User posts, uploads, shares, stores, or otherwise provides to or via the Services.

3. Services Description

TruthCover provides an AI-powered platform designed to help users understand and navigate insurance options. Our Services may include, but are not limited to:

  • Personalized insurance recommendations based on user-provided information
  • Insurance policy analysis and comparison
  • Educational content about insurance products and concepts
  • Direct communication with insurance experts

TruthCover is not a licensed insurance broker, agent, or carrier. We do not sell, underwrite, or provide insurance coverage. Our Services are informational and educational in nature, designed to help you make informed decisions about insurance products offered by third-party providers.

4. Eligibility

To use the Services, you must be at least 18 years old and capable of forming a binding contract with TruthCover. You represent and warrant that:

  • You are at least 18 years old;
  • You have the right, authority, and capacity to enter into these Terms;
  • You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations; and
  • You have not been previously suspended or removed from the Services.

5. User Accounts

To access certain features of the Services, you may be required to register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your account information;
  • Maintain the security of your account, including by keeping your password confidential and restricting access to your account;
  • Promptly notify TruthCover if you discover or otherwise suspect any security breaches related to the Services; and
  • Take responsibility for all activities that occur under your account and accept all risks of unauthorized access.

6. User Content and Conduct

You are solely responsible for your User Content and your conduct while using the Services. You agree that:

  • You will not post, upload, or share User Content that violates these Terms, applicable law, or the rights of any third party;
  • You will not post, upload, or share User Content that is fraudulent, deceptive, misleading, defamatory, obscene, or that promotes illegal activity;
  • You will not impersonate any person or entity or misrepresent your affiliation with a person or entity;
  • You will not attempt to disable, interfere with, or circumvent any aspect of the Services;
  • You will not use the Services for any illegal or unauthorized purpose, including collecting usernames and/or email addresses for sending unsolicited emails;
  • You will not use the Services to distribute viruses or malware or other harmful computer code;
  • You will not engage in any automated use of the Services, such as using scripts to send messages or posts;
  • You will not attempt to access any part of the Services that you are not authorized to access.

7. Intellectual Property Rights

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of TruthCover and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in these Terms grants you a right to use the TruthCover name or any of the TruthCover trademarks, logos, domain names, or other distinctive brand features.

By submitting User Content to the Services, you grant TruthCover a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods now known or later developed. You represent and warrant that you have all rights necessary to grant these rights to TruthCover.

8. Disclaimers and Limitations of Liability

Disclaimer of Warranties: THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

Insurance Information Disclaimer: TRUTHCOVER DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INSURANCE INFORMATION PROVIDED THROUGH THE SERVICES. THE INSURANCE RECOMMENDATIONS AND INFORMATION PROVIDED THROUGH THE SERVICES ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSIDERED FINANCIAL, LEGAL, OR INSURANCE ADVICE. YOU SHOULD ALWAYS VERIFY ANY INFORMATION OBTAINED FROM THE SERVICES WITH THE RELEVANT INSURANCE PROVIDER BEFORE MAKING ANY INSURANCE DECISIONS.

Limitation of Liability: IN NO EVENT SHALL TRUTHCOVER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

9. Indemnification

You agree to defend, indemnify, and hold harmless TruthCover, its directors, employees, partners, agents, suppliers, and affiliates, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

10. Modifications to the Services and Terms

TruthCover reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We may also modify these Terms from time to time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Services, or updating the "Last Updated" date at the beginning of these Terms. Your continued use of the Services following notification of any changes to these Terms constitutes acceptance of those changes.

11. Termination

TruthCover may terminate or suspend your access to all or part of the Services, without notice, for any conduct that TruthCover, in its sole discretion, believes is in violation of these Terms or is harmful to the interests of another User, a third party, or TruthCover. Upon termination, your right to use the Services will immediately cease.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in New York County, New York, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

13. Entire Agreement/Severability

These Terms constitute the entire agreement between you and TruthCover regarding the use of the Services, superseding any prior agreements between you and TruthCover relating to your use of the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
